Business Sender Agreement

This Business Sender Agreement applies to any business, brand, agency, merchant, or other commercial organization ("Business Sender") that uses Zerate to create, distribute, manage, or measure gifts, referrals, rewards, coupons, promotions, or related recipient communications.

1. Platform Role

Zerate provides software infrastructure. Business Senders are solely responsible for campaign content, offer accuracy, compliance with applicable law, product quality, fulfillment, customer support, and honoring all offers or rewards.

2. Campaign Compliance

Business Senders represent and warrant that:

• all campaign content, offers, images, messaging, rules, disclosures, and recipient communications are truthful, accurate, not misleading, and comply with applicable laws and industry regulations;
• promotions, sweepstakes, contests, and reward programs comply with all applicable promotion laws and regulations;
• recipient data and communications comply with all applicable privacy, data protection, marketing, consent, and anti-spam laws; and
• the Business Sender owns or has all necessary rights, consents, and licenses to use all campaign content, trademarks, images, and recipient data in connection with the Service.

3. Prohibited Conduct

Business Senders must not:

• use the Service in connection with deceptive offers, bait-and-switch schemes, or materially misleading representations;
• send unsolicited messages to purchased or scraped lists without lawful authorization;
• offer or advertise anything illegal, dangerous, prohibited by Zerate's policies, or that infringes third-party rights;
• manipulate referral programs, create fake accounts, engage in self-referrals, or commit other fraud; or
• violate any applicable law, Zerate policy, or third-party terms.

4. Fulfillment

Business Senders are responsible for fulfilling offers, rewards, prizes, discounts, products, and services on the terms disclosed to recipients. Failure to honor promotions may result in suspension or termination.

5. Records and Audits

Business Senders must maintain records necessary to demonstrate compliance with these terms and applicable law, and will provide such records upon reasonable request.

6. Indemnification

Business Senders agree to defend, indemnify, and hold harmless Zerate and its affiliates from any claims, demands, liabilities, damages, losses, penalties, costs, and expenses (including reasonable attorneys' fees) arising from or related to the Business Sender's campaigns, content, offers, products, services, recipient communications, fulfillment, or any alleged or actual violation of these terms or applicable law.

7. Termination and Suspension

Zerate may suspend or terminate access to the Service at any time for violations of these terms, failure to pay, suspected fraud, legal risk, or harm to the platform or third parties.

8. Relationship to Terms of Service

This Agreement supplements Zerate's Terms of Service. In the event of conflict, the more specific provision governs.

9. Survival

Provisions relating to indemnification, limitation of Zerate's role, disputes, and other provisions that by their nature should survive will survive termination of your use of Zerate.
